Ocean Glory Marine Terms of Service

By accessing our website or using our services, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

Centropa Logistics BV., a company incorporated under the laws of Singapore with its registered office at Edisonweg 24, 3899 AZ, Zeewolde ("Company," "we," "us," or "our"), provides maritime logistics services for the oil and gas industry through our website centropalogistics.com and direct service engagements.

By accessing our website, contacting us for services, or engaging with our maritime operations, you ("Client," "you," or "your") agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use our website or services.

2. Definitions

In these Terms of Service, the following terms shall have the meanings set forth below:

  • "Services" means maritime logistics services including but not limited to crude oil shipping, storage tank operations, vessel chartering, pipeline transportation, and related logistics services.
  • "Client" means any individual, company, or entity that engages our Services.
  • "Contract" means the specific service agreement entered into between the Company and the Client.
  • "Force Majeure" means events beyond reasonable control including but not limited to war, terrorism, piracy, extreme weather conditions, port closures, or government actions affecting maritime operations.
  • "Laytime" means the time allowed for loading and unloading operations as specified in the Contract.

3. Service Agreements

3.1 Contract Formation

All Services provided by Ocean Glory Marine are subject to separate written Contracts that shall include specific terms regarding:

  • Scope of services and specifications
  • Duration and scheduling
  • Pricing and payment terms
  • Liability and insurance requirements
  • Applicable laws and jurisdiction
3.2 Service Specifications

Service specifications including vessel details, storage capacities, routes, and schedules are provided for informational purposes only and are subject to change based on operational requirements, regulatory changes, and market conditions.

4. Pricing and Payment Terms

4.1 Quotations

All quotations provided are valid for 30 days from the date of issue unless otherwise specified. Prices are subject to change due to fluctuations in bunker fuel costs, port charges, canal tolls, currency exchange rates, and other operational variables.

4.3 Late Payments

Late payments shall incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for overdue accounts.

5. Client Responsibilities

Clients are responsible for:

Accurate Information

Providing accurate and complete information regarding cargo specifications, quantities, and requirements

Documentation

Obtaining all necessary permits, licenses, and documentation required for shipment

Cargo Compliance

Ensuring cargo complies with all applicable laws, regulations, and safety standards

Timely Operations

Providing timely access to loading/unloading facilities and meeting agreed schedules

6. Limitation of Liability

6.1 General Limitation

To the maximum extent permitted by Singapore law, Ocean Glory Marine's total liability for any claim arising from or related to our Services shall not exceed the total fees paid by the Client for the specific service giving rise to the claim in the twelve (12) months preceding the claim.

6.2 Exclusions

We shall not be liable for:

  • Consequential, indirect, incidental, or punitive damages
  • Loss of profits, revenue, or business opportunities
  • Delays caused by Force Majeure events
  • Third-party actions or omissions
  • Market fluctuations affecting cargo value
6.3 Insurance

Clients are responsible for maintaining adequate insurance coverage for their cargo. We maintain standard marine liability insurance as required by industry practice and applicable regulations.

7. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms or any Contract if such failure or delay is due to Force Majeure events including but not limited to:

The affected party shall notify the other party of such Force Majeure event within 48 hours of its occurrence and make reasonable efforts to mitigate its effects.

8. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Ocean Glory Marine or its content suppliers and is protected by Singapore and international copyright laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

9. Website Use

9.1 Acceptable Use

You agree not to use our website to:

  • Violate any applicable laws or regulations
  • Transmit harmful or malicious content
  • Attempt to gain unauthorized access to our systems
  • Interfere with website functionality
  • Collect information about other users
9.2 Accuracy of Information

While we strive to provide accurate information on our website, we do not warrant that all information is complete, accurate, or current. Information is subject to change without notice.

10. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of business, including but not limited to pricing, operational details, and business strategies. This obligation shall survive termination of any Contract.

11. Termination

Either party may terminate a Contract for material breach by the other party upon 30 days written notice, provided the breach is not cured within the notice period. We reserve the right to suspend or terminate website access for violations of these Terms.

Upon termination, all outstanding payments become immediately due, and Client shall return any confidential information in its possession.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any Contracts shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any disputes arising from these Terms or our Services shall be resolved as follows:

  1. Negotiation: Parties shall attempt to resolve disputes through good faith negotiation for 30 days
  2. Mediation: If negotiation fails, parties shall submit to mediation in Singapore
  3. Arbitration: If mediation fails, disputes shall be settled by arbitration in Singapore in accordance with SIAC rules
  4. Court Proceedings: Either party may seek injunctive relief in Singapore courts

13. Amendments

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Your continued use of our website or Services after changes constitute acceptance of the modified Terms.

For existing Contracts, the Terms in effect at the time of Contract formation shall govern that specific engagement.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the original intent.

15. Entire Agreement

These Terms, together with our Privacy Policy and any specific Contracts, constitute the entire agreement between you and Ocean Glory Marine regarding our Services and supersede all prior agreements and understandings, whether written or oral.
